Position Overview
We are seeking an Associate Attorney with 6+ years of experience to join our Corporate practice in Los Angeles. The ideal candidate will excel in drafting and negotiating primary transaction documents for sophisticated deals, representing both buyers and sellers, and handling equity financing transactions. Experience in fund formation is a plus. This role offers the opportunity to work closely with partners and clients, managing high-stakes deals with autonomy and impact.

Key Responsibilities

• Draft and negotiate primary transaction documents for complex acquisitions, mergers, and divestitures, representing buyers and sellers.
• Structure and execute equity financing transactions, including venture capital and private equity deals.
• Provide strategic legal counsel on deal terms, risk mitigation, and transaction structures.
• Collaborate with clients and internal teams to ensure seamless deal execution and compliance.
• Contribute to fund formation projects, if applicable, including drafting fund documents and advising on regulatory requirements.

Qualifications

• 6+ years of experience in corporate transactions, with a focus on drafting primary transaction documents and equity financing.
• Experience representing buyers and sellers in sophisticated deals; fund formation experience is a plus.
• J.D. from an accredited law school and active California Bar membership.
• Exceptional drafting, negotiation, and analytical skills with meticulous attention to detail.
• Proven ability to manage multiple projects in a fast-paced environment while meeting deadlines.
• Strong interpersonal skills for client and team collaboration.
